### Terms and Conditions for Artists and composers uploading tracks to Music Matcher LTD
**1. Agreement to Terms**
By submitting your music to Music Matcher ("the Platform"), you ("the Artist") agree to the following terms and conditions. These terms constitute a legally binding agreement between you and Music Matcher.
**2. Licencing Terms**
2.1 **Sync Licences**
- You, the Artist, grant Music Matcher the right to sell sync licences on your behalf, for your submitted music to companies or music supervisors registered on our platform.
2.2 **Non-Exclusive Licences**
- The licences granted to companies are non-exclusive, meaning you retain the right to licence your music to other parties.
**3. Revenue Distribution**
3.1 **Percentage Split**
- You ("The Artist") will receive 70% of the licence fee before any tax deductions. If the licensed Track has more than one owner, the registered contact on Music Matcher will be responsible for distributing the earnings accordingly.
- Music Matcher Ltd ("The Platform") will receive 30% of the licence fee before any tax deductions.
3.2 **Earnings Distribution Example**
- For illustrative purposes, if Music Matcher sells a Streaming platform licence for one of your tracks at £2,800 inclusive of VAT, 70% (£1,960) will be sent to ("The Artist") as an upfront fee. Some available licences vary in price, therefore your earnings will also vary depending on what licence is purchased.
3.3 **Calculation and Payment**
- Earnings will be calculated based on the number of times each artist's song is licensed.
- Payment of the total licence amount will be made directly to ("The Platform"). ("The Platform") will then send your split before any tax deductions within three working days.
- Payments will be made no more than three woking days after the purchase.
**4. Royalties**
4.1 As long as your track is registered with a collection agency, performance royalties could be due. The fee you receive is in exchange for permission to licence your track.
**5. Artist Representations and Warranties**
5.1 **Ownership and Rights**
- By submitting your music, you represent and warrant that you own or control all rights to the music and have the authority to grant the rights set forth in this agreement. Any other owners must be disclosed when uploading a track.
5.2 **No Infringement**
- You warrant that your music does not infringe upon any intellectual property rights, privacy rights, or any other legal rights of any third party.
5.3 **Data Protection**
- Music Matcher will only ever share information needed for licencing and in formation for you the artists to be correctly credited for your work. (Full name, Artist name, Song Title, Song information).
**6. Indemnification**
You agree to indemnify, defend, and hold harmless Music Matcher, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your music or breach of this agreement.
**7. Termination**
Music Matcher reserves the right to terminate this agreement and remove your music from the platform at any time for any reason, including but not limited to breach of these terms.
**8. Changes to Terms**
Music Matcher may modify these terms at any time. We will notify you of any changes by posting the updated terms on our platform. Your continued use of the platform after such changes constitutes your acceptance of the new terms.
**9. Governing Law**
This agreement will be governed by and construed in accordance with the laws of England, without regard to its conflict of law principles.
